Article I - Name of the Organization
The name by which said Association shall be known in law is the SKYLINE HILLS ASSOCIATION.
Article II - Area Covered
The area includes the property located in the Skyline Hills subdivision, Meridian Township Ingham County, Michigan.
Additional area can be added upon approval of the Active Membership, duly assembled.
Article III - Purposes
The purposes for which the Association is formed are as follows:
Article IV - Location of Organization
The place of office is as designated by the Executive Board.
Article V - Membership and Voting Privileges
Section 1: Any resident or non-resident property owner may become an Active Member of the Skyline Hills Association by payment of dues and meeting such other requirements as proscribed by the bylaws.
Section 2: Resident tenants or lessees are eligible for Associate Membership upon payment of dues and meeting such other requirements as proscribed in the Constitution. Associate Members shall participate in all the rights privileges and responsibilities of Active Membership other than the right to vote and serve on the Executive Board.
Section 3: The power to vote shall rest solely in the Active Membership in good standing and shall be limited to one vote for each property owner. There shall be no proxy votes.
Article VI - Executive Board
Section 1: The Executive Board of this Association shall consist of President, Vice-President, Secretary, Treasurer, President Emeritus, and four Directors at Large. There shall also be a Neighborhood Watch Coordinator who may simultaneously hold another position on the Board. All Board members shall be Active Members in good standing of the Association and shall hold office until January 1 of the following year unless reelected or unless previously removed by the Association.
Section 2: Election of the Executive Board shall be conducted soon after at the annual meeting of the Association. A majority vote of the Active Members voting shall be required to elect.
Section 3: In advance of the Annual Meeting, the President shall solicit nominations for members of the Board. Additional nominations will be sought from the membership assembled. The election will then be heled by secret ballot within three weeks of the Meeting. Only dues-paying Active Members shall be permitted to vote for members of the Board.
Section 4: Board Members shall hold office for the term of one year beginning January 1 and continuing until the next annual election or until their successors have been elected and duly qualified, unless previously removed by action of the Association.
Section 5: The Executive Board shall be the governing body of the Association except when the Association is in session during a duly-called meeting, subject to the provisions of the Constitution of the Association.
Section 6: The Board shall (a) formulate policies and authorize appropriate action, (b) hold property in the name of the Association, (c) fill vacancies in office until the net election, and (d) be responsible for management of the finances of the Association except when the Association is in session during a duly-called meeting.
Section 7: The President shall preside at all meetings of the Association and of the Executive Board. S/he shall appoint all standing and special committees and shall be ex-officio member of all standing and special committees so appointed, meetings of which may be attended by the President or her/his designee. S/he shall call meetings of the Executive Board at such times as may be deemed advisable but no less frequently than bi-monthly and shall call meetings of the Association at the written request of not fewer than three members of the or ten members in good standing of the Association. It shall be the President's duty to carry out the will of the Board and members when approved by the Association and, in general, to conduct the affairs of the Association in a manner consistent with the authority and responsibility pertaining to the office.
Section 8: The Vice-President, in the absence of the President, shall discharge the duties of the President.
Section 9: The Secretary shall give notice of all meetings of the Executive Board and of the Association and shall attend all meetings and keep a true and accurate record of their proceedings. S/he shall keep a complete list of all members of the Association with their addresses and email addresses, if applicable. S/he shall carry on the correspondence of the Association as instructed by the membership regularly assembled.
Section 10: The Treasurer shall keep account of all moneys received by and expended for the use of the Association and shall make disbursements only upon authorization of the President or Vice-President. When his/her term of office expires or s/he is unable to serve for any reason all moneys, books, papers and other property belonging to the Association shall be turned over to his/her designated successor or to the President.
Section 11: At the discretion of the Board, the Treasurer shall obtain a bond in such sums as the members regularly assembled may deem advisable, the cost of such bond paid out of Association funds. All moneys of the Association shall be deposited in a bank approved by the Board. The Treasurer's accounts shall be audited annually by the Executive Board or by a competent auditor selected by the Board.
Section 12: The Executive Board shall review all cases brought before it concerning the welfare of the property owners in the area with which the Association is concerned and shall instruct the President and Secretary as to the manner in which to proceed and as to correspondence to be written concerning these cases. The Board shall also approve all expenditures.
Section 13: Any member of the Executive Board failing to attend three consecutive meetings of the Board, unless duly excused by the President, shall be automatically vacated from his/her elected position.
Section 14: The Association may remove from office any member of the Executive Board whenever, in its judgment, the welfare of the Association is in jeopardy because of malfeasance, misfeasance, or nonfeasance. The Association may proceed, by a vote of not less than two-thirds of the Active Members present and voting, to carry out and put into effect such removal. All charges must be preferred in writing and presented to the members regularly assembled at least thirty days before expulsion.
Section 15: In case of a vacancy occurring among the Executive Board, the Board shall select a replacement from the eligible Active Members of the Association for the balance of the unexpired term.
Article VII - Association Meetings
Section 1: The Association shall meet at dates established by its Executive Board but not less than once a year for its Annual Meeting. The Annual Meeting shall normally be during the third week in September.
Section 2: Written notice of each Association meeting shall be sent to all members at least 10 days in advance of the meeting.
Article VIII - Dues and Membership
Section 1: Membership dues shall be determined by the Executive Board and approved by a vote of two-thirds of the members of the Association voting.
Section 2: Dues shall be for the calendar year (January 1-December 31) and are to be paid by the end of September for the following year for those wishing to run for office and/or vote for those running. Notices of dues payable shall be sent to each member by the Secretary. Any member whose dues shall remain unpaid by the time ballots are distributed for voting for the next year's Executive Board members shall be delinquent and shall be ineligible to enjoy the rights and privileges of membership until those dues are paid. A member paying dues after the voting for Executive Board has occurred shall have her/his membership privileges reinstated for the remainder of the calendar year in question.
Article IX - Quorums
Section 1: Five members present in person shall constitute a quorum at meetings of the Executive Board.
Section 2: Twenty present (20%) of the Active Members of the Association in good standing shall constitute a quorum for the transaction of business at any meeting of the Association.
Article X - Salaries and Expenses
Section 1: All members of the Executive Board shall serve without compensation, but the Association may provide from its funds for such necessary incidental expenses as may be properly incurred by such officers in the transaction of Association business.
Article XI - Rules of Order
Section 1: All meetings of the Association and of the Board shall be conducted with the forms and regulations set forth in Rober's Rules of Order unless otherwise specified in this Constitution. It shall require two-thirds of the members voting at a meeting to suspend the rules of order.
Article XII - Amendments
Section 1: Amendments to the Constitution of the Association may be proposed in writing by any three Active Members in good standing. Proposed amendments shall be submitted in writing by the Secretary to each member at least 30 days in advance of an announced meeting at which the proposed amendment is to be read, discussed and voted upon. A two-thirds vote of Active Members of the Association present and voting shall be required for the adoption of any amendment.
The name by which said Association shall be known in law is the SKYLINE HILLS ASSOCIATION.

- To maintain as high as possible the standard of the subdivision;
- To promote the interests and welfare of the residents;
- To enforce building restrictions and covenants within this area;
- To procure the construction, if necessary, of public improvements within the area and the proper maintenance; and
- To promote all other matters of interest to the general welfare and improvement of the area.
